The Firm

CTM Avvocati is a law firm founded by Avv. Marco Cozza and Avv. Eugenio Timpano.

Our Firm advises domestic and international corporations, as well as financial institutions (including banks, insurance companies and investment funds), public and private companies, on complex corporate transactions, on finance deals and employment and litigation matters as well as on legal issues on a day-to-day basis. Out-of-Court Advisory

CTM regularly advises on any contractual or commercial law matter. Our scope of work in this field essentially consists in the drafting of domestic and cross-border agreements, opinions and By-laws, as well as in the management of negotiations and settlement of disputes.

Litigation

CTM provides assistance in managing negotiations at an out-of-Court stage, and in representing clients in Court proceedings (i.e., both those regulated by the ordinary rules of procedure and those set forth by the special legislation), as well as in arbitration proceedings (both at a domestic and international level), and the implementation of alternative dispute resolution methods, with particular focus on mediation and settlement.

The main fields of activity of our litigation department are:

The CTM Studio provides legal assistance, both extrajudicial and judicial, to companies and individuals on all issues relating to employment relationships (including pay and contributory aspects): from the genetic phase to the termination and possible pathological aspects of the relationship. The Firm deals in particular with providing advice and assistance: . in the assumption of all the necessary acts for the best management of the personnel , disciplinary proceedings, interpretation of legal norms and contractual clauses, transfers of headquarters, job changes, promotions, bonuses, prizes, superminimi, fringe benefits, etc. . in the stipulation of individual and company contracts (open-ended and fixed-term contracts, project contracts, self-employment contracts, supplementary company contracts, etc.); . in the drafting of internal regulations (disciplinary codes, internal policies regarding the use of IT systems and company assets, etc.); . in assessing the risk deriving from current and potential disputes; . in the management of issues related to hygiene and safety; . in the evaluation and subsequent management of cases of demansion, mobbing and possible correlated damages.

We have participated in many corporate transactions, including joint venture agreements and acquisitions, often working closely with foreign legal counsels, in addressing highly complicated cross-border issues. Banking, Insurance and Financial Intermediaries Regulations

CTM regularly advises banks, investment firms, financial intermediaries and insurance companies on compliance with all applicable statutory requirements. We provide updates on all major changes in the regulatory framework and assist in managing the relationships between our clients and the relevant Supervisory Authorities (i.e., Bank of Italy, Consob, ISVAP, etc.). CTM´s advice in this area covers, inter alia:

the setting up of mutual funds and the relevant quota placement

the setting up of investment management firms (”SGRs“)

the authorisation to carry out banking activities in Italy by EU or non-EU banks, insurance companies and investment firms

the authorisation for the offering of mutual investment funds’ shares, either harmonized or non harmonized, in Italy

Eugenio Timpano, after a long collaboration with the law firms Vita Samory, Fabbrini & Associati and before, with Bianchi & Associati, in 2011 founded, with the colleague and friend Marco Cozza, the law firm CTM Avvocati. Over the years he has gained a specific judicial and extrajudicial experience on all matters pertaining to the complex world of the employment law. In particular he advises many companies, both Italian and international, mainly Germans, in all phases of incorporation, modification and resolution of the employment relationships with employees and managers, as well as the relations with agents (single or multi-firm agents), scientific sales representatives, independent consultants and in solving all the problems related to Labour Unions relations. Eugenio Timpano also gained a remarkable experience on the whole Italian territory for the management of the civil, corporate and commercial litigation.

MARCO COZZA

Marco Cozza is a Founder of CTM Avvocati, together with his partner and friend Eugenio Timpano, and Managing Partner of the Milan Office. He specializes in corporate and company law, Italian and cross-border mergers and acquisitions, as well as LBO, MBO and private equity transactions. Additionally, he has gained considerable experience in negotiating acquisition finance and project finance documentation and related security packages and has advised primary Italian and European banks and Private Equity funds. Marco has advised European, US and Asian corporations in entering the Italian market, assisting them in all aspects of such goal, from choosing the appropriate corporate entity to management and employees hiring or transfer. Marco regularly advises Italian and international corporations on international trade contracts, including distributorship agreements, supply and manufacturing agreements, agency, procurement and services agreements, international sale of goods. In the recent years, Marco represented Italian and International companies in the industries of hotels, internet and new technologies, security, communications, publishing, food processing, food supplements, and cosmetics. He also has familiarity with the real estate sector and in particular he has worked on the development of large shopping centers and the related financial aspects. Marco spent some years in Middle Eastern countries, including Egypt, Tunisia and the Gulf region. He is a regular speaker at workshops for entrepreneurs sponsored by trade associations. Prior to founding CTM, Marco was with the US law firm Willkie Farr & Gallagher LLP and previously with Vita Samory, Fabbrini e Associati. Later, he was also a partner of Raifer Rechtsanwälte-Avvocati.

Carmen Milazzo graduated with honours in Law at the University of Palermo. After qualifying to practice law in 2007, she obtained a Masters in Human Resources and Business Organisation at the Catholic University of Milan. She then proceeded to gain solid and considerable specialist professional experience in all the main areas of labour law and industrial relations by representing public and private entities through out-of-court consultancy and judicial assistance, especially in favour of Local Authorities and Public Administrations. She worked for a number of years as a professional mediator at the Conciliation counter affiliated with ADR Media in Palermo. She joined CTM in January 2019 where she provides legal, directional and strategic assistance, working in the interests of leading Italian and foreign companies in order to assist corporate management bodies with day-to-day (as well as strategic) management of all aspects of, and problems related to, subordinate, parasubordinate and autonomous labour relations. She assists in out-of-court negotiations, in litigation proceedings (including anti-union conduct) and in arbitration proceedings. She speaks Spanish and Italian fluently.
